Exhibit

In short

A document or item attached to and referenced within a larger legal agreement, such as a purchase agreement or loan document. Exhibits provide detailed information that supports the main contract without cluttering the primary text.

What it means in a deal

In your acquisition, the LOI and definitive purchase agreement will have numerous Exhibits, like asset lists, financial statements, and lease agreements. These are legally binding parts of the deal.
